Latin America CREATECH Competition 2018-2019
Terms and Conditions

1. PURPOSE OF THE LATIN AMERICA CREATECH COMPETITION 2018- 2019
The Latin America Createch Competition 2018- 2019 (“Competition”) highlights the growing relationship between the United Kingdom and the Latin American countries´ technology scenes and the structures in place to support the international expansion of Latin American tech companies to the UK. Latin American start-up or SME in Digital Media, Animation, Gaming or Immersive Technologies taking part in the Competition will have a chance to win the prizes as described in the Prizes section of these terms and conditions. The Competition is subject to these terms and conditions (“Terms and Conditions”).

2. ELIGIBILITY:
The Competition is open to Latin American start-up or SME companies having no current offices in the United Kingdom (“Participant”). Participants must have a verifiable client base and be ready to grow internationally. Participants must have a primary focus on products or services within the field of digital marketing, animation, gaming or immersive technology. A representative from the wining company must be able to travel to the UK in the dates established in order to receive the Prizes as defined in section 10 of these Terms and Conditions.

3. SPONSORS:
The Competition is sponsored by the UK´s Department for International Trade, Globant Ventures and (“Sponsors”). Employees, officers, directors, agents, representatives of Sponsors, or the Competition and advertising agencies of any aforementioned entity and their immediate family members and those living in their household, and each person or entity connected with the production or administration of the Competition, and each parent company, affiliate, subsidiary, agent and representative of any aforementioned entity are not eligible.

4. COMPETITION DATES:
Competition begins at 09:00 GMT-3 on October 1 , 2018 and ends at 11:59 GMT-3 on November 15, 2018 (“Competition Dates”). Maximum of 3 finalists for each area/country will be announced on 15 December, 2018 by a pre- selection panel. Finalists will be interviewed by the local panel. The winner will be selected and announced by the winner selection panel before 15 December 2018.

5. HOW TO PARTICIPATE:
Only online applications will be admitted. To apply, Participant must complete the online application form following the instructions provided (“Submission”). The application form must be completed for you to qualify as Participant.
Sponsors will not verify Submissions nor will Sponsors return Submissions. After final verification of winner, Submissions may be destroyed and will not be returned. All Submissions must be received no later than 11:59 GMT-3 on November 15, 2018 (according to Sponsors´ internal time clock). The Submissions will be considered as part of the final judging round.

6. JUDGING AND NOTIFICATION:
There will be two rounds of judging, an initial round and a final round. Submissions will be judged by a pre- selection panel of qualified expert judges. No judge has a stake in the outcome of the winner. No judge shall have decision making authority for any Submission in which that judge either has a financial or other reasonably calculable stake in the outcome of the product or service.

6.1 First Round Judging Criteria
Submissions will be judged for a possible maximum score of 100 points, based upon the following criteria:
Technology (up to [20] points) Creativity (up to [20] points) Innovation (up to [20] points) Extent of potential business growth and success in the UK (up to 40 points)
In the event of a tie, double weight will be given to the “Extent of potential business growth and success in the UK” judging criteria.

6.2 Selection of Finalists:
Maximum of three highest scoring Participants per country/area from the Competition will be selected as finalists. Finalists will be notified by email at the email address provided in the application form.
If finalist notification is returned as undeliverable for any reason, status as finalist may be forfeited and the Submission with the next highest score can be chosen as the finalist.

6.3 Finalist Submission:
Once notified by email, each finalist will participate of an interview with the local panel of judges.

6.4 Final Round Judging Criteria
All the Participant finalists will be judged for a possible maximum score of [100] points, based upon the following criteria:
Technology (up to [20] points) Creativity (up to [20] points) Innovation (up to 20] points) Extent of potential business growth and success in the UK (up to [40] points)

6.5 Winner
One winner for all LATAM is chosen for the Latin America Createch Competition 2018-2019.

7. SUBMISSION GUIDELINES:
In addition to the precedent provisions of these Terms and Conditions, the answers provided in the Submission and pitch must be original, truthful works of authorship. Submission must, in Sponsors´ sole discretion, contain sufficient technical or explanatory details, including but not limited to company details, product and/or service descriptions, and statements of activities that the entity has a current international customer base and the ability to expand into the UK market, so as to provide a complete
analysis of the company, the company’s innovation, the company’s product and/or service, and how the company will take advantage of the UK market.
The Submission must be in English. All Submissions must be submitted through the online system. Sponsors are not responsible for legal protection of Submissions. If, in the sole discretion of Sponsors, Participant’s work appears to be an infringement under Latin America´s law, dependent on where the Participant is headquartered, Sponsors will disqualify the Submission. Each Participant hereby indemnifies Sponsors and the judges against any and all loss, damages or liability that they might incur by reason of any breach or alleged breach of this paragraph or these Terms and Conditions.

8. INTELLECTUAL PROPERTY:
Submissions remain the property of the Participant and Sponsors treat Submissions as being eligible, under Latin America´s Intellectual Property and Copyright law, dependent on where the Participant is headquartered, to be entered in this Competition. Participants recognize that many applications may be similar in nature and Sponsors´ determination of winning Submission is final. Participants are solely responsible for protecting the intellectual property of their Submission. By entering the Competition, Participants grant to Sponsors a license to review the Submissions during judging, as well as use the Submission for publicity purposes as outlined herein.

9. LICENSE:
As a condition of entering the Competition, Sponsors shall retain a perpetual non-exclusive royalty-free license to use any component of the Submissions that would not reasonably be considered by an independent person to be confidential, for the purposes of marketing this Competition and Sponsors’ activities without any additional compensation and to display non-confidential components of each Submission in any and all media throughout the world for marketing purposes, including without limitation, displaying Submissions on Internet websites, in Competition material, and/or in public and private places worldwide, the term of which shall be the entire life of the copyright or any other rights claimed in the Submission.
The Participant retains all rights to Submission. However, Sponsors reserve the right to use non-confidential information included in the Submission for marketing purposes. Should any Company Participant be unwilling or otherwise unable to enter into license or provide permissions and/or releases or, if in the sole discretion of Sponsors, Participant is not eligible to receive the Prizes (as defined below), the Participant with the next highest score may be chosen from the remaining Submissions until one who is able to meet all requirements can be selected. The Winner must provide Sponsors with all signatures on required paperwork, including license and other intellectual property agreements and undertakings, and return all documents in a timely manner as required pursuant to these Terms and Conditions in order to be eligible to receive the Prizes. Participants will not be paid for their Submissions or for granting Sponsors any of these rights.

10. PRIZES:
The following Prizes (“Prizes”) will be awarded to the Competition Winner:
▪ The winner will receive a trip to the United Kingdom to participate of London Tech Week and the Createch 2019 and a customized business development agenda
▪ Free professional set-up services for the Participants in the UK by international consultants EBS including tax advice, free company registration and 1-year Company Secretarial and accounting services.
The Prizes are non-transferable and cannot be exchanged for money or refunded for a cash equivalent. Sponsors reserve the right to modify the terms and conditions of the Prizes without liability.

11. CONDITIONS:
By entering this Competition, the Participant understand that their Submissions will be reviewed for commercial viability and that the Participants are not eligible if they (1) are represented under any contract that would limit or impair their ability to commercially exploit the Submissions; or (2) are under any other contractual relationship, or employment agreement that might prohibit them from participating fully in this Competition, or from allowing third parties to contract with them to commercially exploit the Submissions; or (3) at any time before or during the Competition, have provided their Submission to any entity or third party for any purpose related to exploitation and/or commercialization (including the possibility of commercialization) of the Submission. Nothing in this Competition may be construed as an employment contract.
By participating in the Competition, the Participants agree: (i) to be bound by these Terms and Conditions and the decisions of Sponsors which shall be final and binding; and (ii) to waive any right to claim ambiguity in the Competition or these Terms and Conditions, except where prohibited by law. By accepting a Prize, the Participants agree to release Sponsors, including its parent, subsidiary and affiliated entities together with the respective directors, employees, officers, licensees, licensors and agents, and respective advertising and any person or entity associated with the production, judging, or administration of the Competition from any and all liability, loss or damage arising from or in connection with awarding, receipt and/or use or misuse of the Prize or participation in any Prize-related activities.
The Participants may take part (or agree to take part) in media coverage or make any press releases or other announcements regarding participation in this Competition with the prior agreement of Sponsors. No Participant shall refer to this Competition or permit it to be referred to by any third party for the purpose of promoting any company or business other than Sponsors.
As a condition of accepting the Prize, the Winner must sign and return a declaration of eligibility, liability, and where lawful, publicity release, within the time period specified therein, allowing Sponsors to use the Submission, name, likeness, hometown name, winning entry and/or Prize information as part of that publicity throughout the world, without any compensation or prior review unless specifically prohibited by law.
Sponsors reserve the right to cancel or suspend the Competition, in its sole discretion, due to circumstances beyond its control, including natural disasters. Sponsors may, in its sole discretion, cancel, modify or suspend the Competition should a virus, bug, computer problem, unauthorized intervention or other causes beyond Sponsor’s control, corrupt the administration, security or proper play of the Competition. Sponsors may prohibit a Participant from participating in the Competition or winning a Prize if, in its sole discretion, it determines such Participant is attempting to undermine the legitimate operation of the Competition by cheating, deception, or any other unfair playing practices of intending to annoy, abuse, threaten, undermine or harass any other Participants or Sponsor representatives. The laws of the United Kingdom will govern disputes regarding these Official Rules and/or this Competition. Any conflict related to the Competition shall be subject to the courts of England.
Any attempt to deliberately damage or undermine the legitimate operation of the Competition may be in violation of criminal and civil laws and will result in disqualification from participation in the Competition. Should such an attempt be made, Sponsors reserves the right to seek remedies and damages (including attorney fees) to the fullest extent of the law, including criminal prosecution.

12. PUBLICITY:
Except where prohibited by applicable law, finalists and Winners’ entry into the Competition and acceptance of any Prize constitutes permission to Sponsor to use finalists and Winners’ company name and logo, and the names of person’s representing company in the Competition for any and all Competition or advertising purposes in connection with this Competition and/or the Sponsors’ business operations and product/service offerings, on a worldwide basis and in all forms of media, now or hereafter known, in perpetuity, without review, permission or further compensation of any amount or kind whatsoever.

13. PRIVACY:
All Participants’ personal information collected by the Sponsors will be used for administration of the Competition and in accordance with Sponsor’s privacy policies, which may include commercial email solicitation. Using the personal information in this way is necessary for the Sponsors to respond to Participant’s participations and process the Submissions in this Competition, which is our legitimate interest. The Sponsors will only send commercial email based on your previous consent and a legitimate interest to keep you updated.
The Sponsors are the data controller, and are responsible for the collection, use, disclosure, retention and protection the Participants’ personal information in accordance with their privacy standards, this section, as well as any applicable laws.
The Sponsors may transfer the Participant’s personal information for the purposes set out above:
• To third parties who provide services connected to this Competition, but only to the extent necessary to provide these services.
• When required by law.
• In the context of litigation, regulatory or administrative investigations, or law enforcement investigations.
Some recipients are located in foreign countries outside the European Union (EU) and the European Economic Area (EEA). As in some cases these countries have a lower level of protection than that within the EU/EEA, when transferring personal data to countries outside the EU/EEA the Sponsors use standard contractual clauses approved by the European Commission to ensure a sufficient level of protection for the Participants’ personal information. These standard contractual clauses can be found via the following link: http://ec.europa.eu/justice/data-protection/international-transfers/transfer/index_en.htm.
The Sponsors take proportionate and adequate measures to protect all personal data transferred to a third party, or to other countries, in accordance with applicable data protection laws and as stated above.
The personal information will be stored for a period of [12] months after the Competition is concluded.
In relation to the Participants’ personal information that the Sponsors hold, and depending on applicable law, the Participants may have the right to:
• Request access to the personal information;
• Request the correction or erasure of personal information;
• Request to stop processing the personal information (for example as regards the use of the data for commercial email solicitation), or restrict how the Sponsors process it (for example if it is deemed that the data is incorrect);
• Receive the personal information or request the data to be transmitted to another controller (right to data portability)
• Withdraw the consent to the processing of personal information for marketing or any other purposes at any time.

If Participant has a complaint regarding the processing of personal information it is entitled to report this to the UK personal data protection supervisory authority or the supervisory authority where you live.
